    CODEX Terms of Use

    The short version
    • CODEX is in invite-only beta. It's offered free and as-is, and it will change.
    • You install CODEX on hardware you own or control. Your data stays yours and stays there.
    • AI answers can be wrong. You decide what to approve, send or change, and you're responsible for it.
    • Use CODEX lawfully, and only on networks, devices and accounts you're allowed to manage.
    • CODEX is not a safety system. Don't rely on it where a failure could hurt someone.

    1. About these terms

    These terms apply to the CODEX software, including its installers, updates, apps and documentation, and to any beta access or support Danny Santiago ("we", "us") provides for it. When we say "you", we mean the person using CODEX. If you install or use CODEX for an organization, such as a business or a government entity, you accept these terms on its behalf and confirm you're allowed to do that. By installing or using CODEX, you agree to these terms. If you don't agree, don't install or use it.

    If you and we have signed a separate written agreement for CODEX, that agreement wins where the two differ.

    2. Invite-only beta

    CODEX is available only by invitation. You can request access through the Contact us form. We decide who joins the beta, and we may end anyone's beta access at any time.

    Beta software is unfinished. Features can change, move, break or be removed without notice, and features marked "in development" may never ship. We don't promise any particular release date, support response time or uptime.

    3. Your license

    While you're in the beta, we give you a limited, personal, non-exclusive, non-transferable license, which we can revoke, to install CODEX on hardware you own or control and use it for your own or your organization's internal purposes.

    You may not:

    • Sell, rent, sublicense or share CODEX, its installers, app packages or license keys with anyone outside your organization.
    • Offer CODEX to others as a hosted service.
    • Reverse engineer, decompile or work around CODEX's sign-in, roles or licensing, except where the law allows it regardless of this restriction.
    • Remove copyright, trademark or license notices.

    We and our licensors keep all rights in CODEX that these terms don't expressly give you. CODEX includes open-source components. Each of those is covered by its own license, and nothing here limits your rights under those licenses.

    4. Your console and your data

    CODEX runs on your hardware. Everything stored in your console belongs to you or your organization: accounts, chats, documents, records, recordings and settings. We don't receive or access that data unless you choose to send it to us, for example in a support request. See the Privacy Policy.

    Because you run the console, you're responsible for:

    • The security of the server, network and storage it runs on.
    • Keeping backups. CODEX includes backup tools, but they protect you only if they're set up and tested.
    • The accounts you create and the roles and access you give people.
    • Your own legal obligations: privacy notices to your users, consent for recordings or cameras, records retention, and public-records laws if you're a government entity.

    5. AI features

    CODEX's assistants, bots and blueprints use AI models that can be wrong, incomplete or out of date, even when they sound confident. CODEX is built so people stay in charge. It shows approval cards before tools run, and it turns suggested record changes into proposals and sends email to an Outbox first. You're responsible for what you approve, send or change.

    AI output isn't legal, medical, financial, tax or other professional advice. Search results from public records and other outside sources are summaries. Check anything important against the official source.

    6. Other people's services

    CODEX can connect to services that other companies provide, such as Anthropic (Claude), Google, Synology, Home Assistant and the AI models you download. You need your own accounts for those services, and their terms and licenses apply to how you use them. We don't control those services and aren't responsible for them. If one of them changes or stops working, the related CODEX features may stop working too.

    7. Acceptable use

    Use CODEX lawfully. In particular, don't use it to:

    • Scan, monitor, probe or manage networks, devices, servers or accounts that you don't own or don't have permission to manage. This applies to the network discovery, port scanner, SNMP, SSH and fleet tools.
    • Record, identify or track people where the law requires notice or consent you don't have. This applies to cameras, microphones, face recognition and voice features.
    • Transmit on radio frequencies or at power levels that your local radio rules don't allow. This applies to the LoRa and mesh features.
    • Break into systems, spread malware, get around access controls, or harm, harass or deceive anyone.
    • Break any law or anyone else's rights, or a provider's terms for a service CODEX connects to.

    8. Not a safety system

    CODEX's monitoring, alarm, alert-level and control-system features are tools for convenience and visibility. They aren't certified safety, life-support, fire, security-alarm or industrial safety-instrumented systems, and they don't replace them. Don't rely on CODEX where a failure, delay or wrong reading could cause injury, death, environmental damage or serious property damage.

    9. Updates and support

    We may offer updates and apps during the beta. CODEX tries to roll back an update that fails its health check, but you should keep current backups before you upgrade. We don't have to provide any particular update, fix or support. When we do help, you agree to give us only the information we need to fix the problem.

    10. Feedback

    We welcome ideas, bug reports and suggestions. If you send them, we may use them to improve CODEX without owing you anything. We won't publish your identity or your organization's data without your permission.

    11. No warranty

    CODEX is beta software provided free of charge, "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and that CODEX will be uninterrupted, secure or error-free.

    12. Limit of liability

    To the fullest extent the law allows, we won't be liable for indirect, incidental, special, consequential or punitive damages. That includes lost data, lost profits, downtime, or the cost of replacement services, even if we were told they were possible. Our total liability for all claims about CODEX is limited to the greater of the amount you paid us for CODEX in the 12 months before the claim, or US $100. Some places don't allow these limits, so they apply to you only as far as your law permits.

    13. Responsibility for your use

    To the extent the law that applies to you permits, you agree to defend and hold us harmless from claims by third parties that arise from your data, your use of CODEX in breach of these terms, or your breach of the law. Government entities agree to this only as far as their governing law allows.

    14. Ending

    You can stop using CODEX at any time. We can end your beta access or this license if you break these terms, or when the beta ends, by giving you notice. When the license ends, stop using CODEX and delete its installers and packages. Your data is still yours: export or back it up first. Sections 4 and 5, and 8 through 15, continue after the license ends.

    15. Governing law

    These terms are governed by the laws of the State of Idaho, USA, without regard to its conflict-of-law rules. Any dispute goes to the state or federal courts serving Nez Perce County, Idaho, unless the law that applies to you as a government entity requires otherwise. If a court finds part of these terms unenforceable, the rest still applies. If we don't enforce a term, that doesn't waive it. You may not transfer these terms without our written consent. We may transfer them to a company that takes over CODEX.

    16. Changes and contact

    We may update these terms. When we do, we'll change the effective date above, and we'll let beta participants know about significant changes. If you keep using CODEX after a change, you accept the updated terms. Questions? Reach us through the Contact us form.
